ACQUISITIONS & SALES

We represent our clients in a broad range of real estate acquisition and sale transactions from the sale or purchase of complex mixed-use and specialty projects to the sale or purchase of single commercial and residential real estate parcels. We assist our clients with the due diligence and other real property aspects of acquisitions. Our clients in these transactions include publicly traded companies, developers, investors, real estate companies and not-for-profit organizations. Our Real Estate attorneys work with our Corporate, Tax, Bankruptcy and Environmental attorneys when the representation of our clients requires expertise from other practice areas.

COMMERCIAL LENDING

In the area of commercial lending, we provide legal services with respect to a variety of commercial loan transactions, including asset and mortgage financing, term loan agreements, revolving credit agreements, wholesale mortgage warehouse loan agreements, syndicated loan agreements, letters-of-credit, reimbursement agreements, and syndication and loan participation agreements. Along with our real estate and insolvency practice groups, we also have extensive experience in handling of loan workouts.

LEASING

The Real Estate group represents our clients in a multitude of lease transactions, from relatively small space leases to major transactions. We represent lessors and lessees in leasing matters, and the practice encompasses office, retail, warehouse and net/ground lease transactions.

In the retail area, we are regularly engaged on a variety of issues including REAs, going dark, radius restrictions, expansion, tenant bankruptcy and percentage lease issues.

Our net/ground lease practice encompasses sophisticated tax-driven transactions as well as traditional ground leases and sale/lease back transactions of development properties.

Our representation of lessors and lessees commences with letters of intent negotiation and structure and extends to related architectural, construction, permitting and other "work letter" issues, including power, telecommunications and other transactional issues.

We also represent property management and leasing companies, work with commercial litigators to provide representation of our clients in landlord-tenant and other litigation matters, including representation in bankruptcy court and administrative tribunals.

Steven C. Cronig is a Partner in the Firm’s Miami office. Mr. Cronig’s practice is concentrated in the areas of commercial real estate development and lender representations. His developer representation includes acquisitions and dispositions of property; creation of development entities such as joint ventures, limited partnerships and REITs; preparing plats, subdivision covenants, homeowners’ association documents, condominium and fractional/timeshare declarations and prospectuses; borrower representation in closing construction and commercial loans; preparing construction contracts; lien administration; and closing sales to end purchasers.

Mr. Cronig represents many commercial and private lenders in connection with the structuring of new asset-secured loans, construction financing, mezzanine financing, the purchase of existing portfolio assets from other lenders, participation agreements among consortia of lenders, and the administration of lender portfolio assets. including negotiation and preparation of initial loan commitment letters, the review of title on behalf of lenders, preparing loan documentation and the closing of loan transactions, lender due diligence activities, construction loan administration and, when necessary, loan workout and disposition activities.

During the course of his twenty-nine years of practice, he has acted as trustee for a class action in which the class members received 125% of their original investments and was involved in the transformation of the South Beach Art Deco district during the 1980s.
